Terms of Service Attorney Agreement In addition to all of the terms of use outlined here: http://www.elinfonet.com/terms.php, you (hereinafter "You" or "Attorney") agree to the following: The Employment Law Information Network, www.elinfonet.com, (the "Website") is the Internet's leading employment law portal and is operated by elinfonet.com, LLC ("ELIN"). In addition to providing information regarding the changing landscape of workplace law, ELIN provides Website visitors ("Users") with a variety of methods to interact with You, including, but not necessarily limited to, ELIN's Employment Law Match Service ("Service" or "ELMS"), Employment Law Directory ("EL Directory"), Employment Law Blog ("EL Blog") and Employment Law Discussion Forums ("EL Forums") (collectively, the "Services"). ELIN takes no interest in whether You and a User form an engagement regarding the rendering of legal services or the establishment of an attorney-client relationship. ELIN does, however, provide You with the opportunity for both engagement and the establishment of an attorney-client relationship. ELIN is not a law firm and does not practice law. You acknowledge that ELIN is not a party to any such relationship that You may form with any User. 1. WEBSITE PROFILE LISTING; ELIGIBILITY REQUIREMENTS ELIN will include a profile listing ("Listing") for You subject to the following terms and conditions. The Listing will consist of a profile containing information regarding You and your law practice ("Profile Data"). You submit all Profile Data that is included in the Listing. You may update or supplement the Profile Data at any time by accessing your member account at the URL designated by ELIN. ELIN reserves the right to modify the format of the Listing from time to time and in its sole discretion. You must, at all times, be licensed to practice law in at least one jurisdiction within United States. You may not use the Website or Services during any period in which you are suspended or expelled from practice in any jurisdiction. You will advise potential clients contacted by or through the Website of all known or potential impediments to your ability to represent them. You shall, at all times, ensure that all information provided to ELIN is true, accurate, and current, in all material respects. You agree that ELIN may, in its sole discretion, deny You access to the Website or Services and/or terminate your membership hereunder, if You have a record of professional discipline, has suffered adverse civil or criminal judgments of any kind, or is the subject of complaints by other attorney members or Website users, or if ELIN has any reason to believe that You will not fulfill your professional obligations to any client or potential client contacted by or through the Website. 2. CHARGES AND PAYMENT The charges for the Listing will be billed on a yearly basis ("Charges"). All Charges under this Agreement are payable to ELIN within twenty (20) days of the billing date and are exclusive of sales, use, ad valorem, personal property and other applicable taxes, which are your responsibility. If such payment is not made, ELIN may charge up to the maximum legal interest on any unpaid balance and any Listing may be immediately removed until ELIN receives payment in full. ELIN may modify Charges upon notice to Law Firm thirty (30) days prior to the annual renewal date, including the first renewal date. All Charges are payable in United States dollars. There are no charges for a Listing during the EL Directory's Beta release, nor will charges be applied retroactively for participating in the Beta release. 3. MODIFICATION OF WEBSITE AND SERVICES The Website is designed and intended to assist users in understanding the legal relationship between employer and employee. The Website is not designed, nor is it intended, to provide legal advice to website visitors. ELIN is not a law firm and is not in the business of practicing law. ELIN will continue to explore new avenues to improve the Website and adopt those it deems appropriate or necessary. You agree that ELIN has the right to modify the Website or Services with or without notice to You. 4. REPRESENTATIONS AND WARRANTIES You are solely responsible for any legal liability arising out of or relating to your Listing or participation in the Services. You represent and warrant that all Profile Data is accurate and up-to-date. You further represent and warrant that you have full authority to provide the Profile Data and that such provision and use of the Profile Data does not and will not violate any copyrights, trademarks, trade secrets or other proprietary rights of any third party or create any liability to any third party. You further warrant that the Profile Data does not contain any matter that is defamatory or which may cause injury or result in damage to any third party and that the Profile Data does not contain any matter that is false or deceptive. You also represent and warrant that you will comply with all applicable laws, rules, and regulations regarding attorney ethics, conduct and advertising in its performance under this Agreement. You acknowledge that any breach of your representations and warranties herein is a material breach of this Agreement. You shall defend, indemnify and hold harmless ELIN from and against any and all third party claims, actions, causes of action, liabilities, damages, costs, and expenses, including attorneys' fees, arising out of or related to any facts or alleged facts which, if true, would constitute a breach of such representations or warranties. 5. DISCLAIMER OF WARRANTY ELIN SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY CLAIM(S) RELATING TO ANY INTERNET USER'S INABILITY TO VIEW OR ACCESS LISTING. ELIN, AND ANY SERVICES PROVIDED THEREON, ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF PERFORMANCE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OMISSIONS, COMPLETENESS, CURRENTNESS AND/OR DELAYS. NEITHER ELIN NOR ITS AFFILIATES OR AGENTS MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED UNDER THIS AGREEMENT, THAT DISPLAY OF LISTING WILL BE UNINTERRUPTED, OR THAT DISPLAY OF LISTING OR THE ABILITY OF ANY INTERNET USER TO ACCESS LAW FIRM'S LISTING WILL BE ERROR FREE. 6. LIMITATION OF LIABILITY ELIN'S, ITS AFFILIATES' AND ITS AGENT'S ENTIRE LIABILITY HEREUNDER, IF ANY, FOR ANY CLAIM(S) FOR DAMAGES RELATING TO THIS AGREEMENT WHICH ARE MADE AGAINST THEM, WHETHER BASED IN CONTRACT OR TORT (INCLUDING NEGLIGENCE), SHALL BE LIMITED TO THE AMOUNT OF CHARGES PAID BY YOU RELATIVE TO THE PERIOD OF OCCURRENCE OF THE EVENTS WHICH ARE THE BASIS OF THE CLAIM(S). IN NO EVENT WILL ELIN, ITS AFFILIATES OR ITS AGENTS BE LIABLE FOR ANY LOST PROFITS OR ANY CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES ARISING FROM OR IN ANY WAY RELATED TO THIS AGREEMENT RELATING IN WHOLE OR PART TO LAW FIRM'S RIGHTS HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7. LIMITATION OF CLAIMS EXCEPT FOR CLAIMS RELATING TO CHARGES, NO CLAIM REGARDLESS OF FORM, WHICH IN ANY WAY ARISES OUT OF THIS AGREEMENT, MAY BE MADE, NOR ACTION BASED UPON SUCH CLAIM BROUGHT, BY EITHER PARTY MORE THAN ONE YEAR AFTER THE BASIS FOR THE CLAIM BECOMES KNOWN TO THE PARTY DESIRING TO ASSERT IT. 8. TERM AND TERMINATION 8.1 Term and Events of Termination. This Agreement is effective while ELIN maintains your Listing. 8.2 Other Events of Termination. Notwithstanding the foregoing, either party may terminate this Agreement immediately upon giving notice of termination to the other party upon the occurrence of any of the following events (i) the other party failing to cure a material breach hereof committed by it within ten (10) days after receiving written notice thereof; (ii) the other party failing to cure a material breach of ELIN's Website Terms of Service (http://www.elinfonet.com/terms.php) committed by it within ten (10) days after receiving written notice thereof; (iIi) the institution of proceedings by or against the other party under bankruptcy or insolvency laws, for corporate reorganization, receivership or dissolution, or similar proceedings; (iv) the other party's becoming insolvent; or (v) either party ceasing to do business or to do business relevant hereunder. 8.3 Obligations Upon Termination. Upon any termination of this Agreement, ELIN shall, within a reasonable period of time, delete Law Firm's Listing from ELIN's server. Sections 4, 5, 6, 7, 8, and 10 hereof shall survive any termination of this Agreement. 9. AGENCY The parties to this Agreement are independent contractors. Neither party is an agent, representative or partner of the other party. Neither party shall have the right, power or authority to enter into any Agreement for or on behalf of, or to incur any obligation or liability of, or to otherwise bind, the other party. This Agreement shall not be interpreted or construed to create an association, joint venture or partnership between the parties or to impose any partnership obligation or liability on either party. 10. ASSIGNMENT You may not resell, assign or transfer any of its rights or obligations under this Agreement, in whole or in part, without ELIN's prior written consent, and any attempt to so resell, assign or transfer will be null and void. 11. ARBITRATION Any controversy or claim arising out of or relating to this Agreement shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Luzerne or Lackawanna County, Pennsylvania, and judgment on the arbitration award may be entered by any court having jurisdiction thereof. ELIN may seek any interim or preliminary relief from a court of competent jurisdiction in Luzerne or Lackawanna County, Pennsylvania, necessary to protect the rights or property of ELIN pending the completion of arbitration. This arbitration clause does not prohibit either ELIN or You from seeking to have the arbitration dismissed or judicially terminated on the basis the claims in arbitration action fail to provide a legal basis upon which a claim for relief may be granted. Any motion or action to dismiss must be filed in a court of general jurisdiction within Luzerne or Lackawanna County, Pennsylvania. 12. NOTICES All notices hereunder must be given in writing to ELIN at 7 South Main Street, Suite 219, Wilkes-Barre, Pennsylvania 18701, Attention: ELIN Attorney Directory, and to You in writing or by email at the addresses set forth in the Listing, via facsimile at the number set forth therein, or by such other means as the parties mutually agree. 13. ENTIRE AGREEMENT This Agreement (which includes all current and future Schedules, Order Forms, Additional Terms and License Agreements and the like) embodies the entire understanding between the parties with respect to the subject matter of this Agreement and supersedes any and all prior understandings and agreements, oral or written, relating to the subject matter hereof. Except as otherwise provided herein, ELIN may amend the terms and conditions of this Agreement upon thirty (30) days prior written or online notice. 14. GENERAL PROVISIONS This Agreement will be governed by and construed under the laws of the State of Pennsylvania, without regard to conflicts of law provisions. The parties agree that the state and federal courts sitting in Pennsylvania will have exclusive jurisdiction over any claim arising out of this Agreement, and each party consents to the exclusive jurisdiction of such courts. Should any provision of this Agreement be held to be void, invalid, unenforceable or illegal by a court of law, the remaining provisions will remain valid and enforceable. Failure to enforce any provision of this Agreement will not constitute or be construed as a waiver of such provision or of the right to enforce such provision. The headings and captions contained in this Agreement are inserted for convenience and do not constitute a part of this Agreement.
