Amy I. Pandit has represented corporate clients in diverse and complex corporate finance transactions and matters. These include public offerings of equity and debt securities, private placements, venture financings, mergers and acquisitions, and federal securities law compliance.

Amy's representations include complex executive compensation matters ranging from drafting and negotiating executive employment agreements to assisting private and public companies in the development of overall executive and employee compensation programs.

Amy is vice chair of the firm's Executive Compensation Group and a member of the Steering Committee of the Securities/SEC Group.

Amy's recent representations include:

  • Representing companies in connection with merger, acquisition and sale transactions.

  • Representing venture capital firms and companies in the negotiation of company capital-raising transactions.

  • Representing public companies in connection with the formation and development of their incentive compensation programs.

  • Representing executives and private and public companies in connection with the negotiation of executive employment agreements and other employment arrangements.

  • Representing public companies in a range of industries with federal securities law compliance on an ongoing, day-to-day basis and compliance, in particular, with the Sarbanes-Oxley Act of 2002 and recent SEC and stock exchange rules.

  • Prior to joining Buchanan, Amy was a corporate associate with a major New York City-based law firm. While there, she focused on mergers and acquisitions for public and private companies, initial and secondary public offerings, federal securities law compliance representing companies and executive officers and directors, and private placements on behalf of public companies.

    In addition to her law degree from Boston University, she studied at the New York University Law School. In 2005, she was named a Pennsylvania Rising Star in Philadelphia Magazine.
